TENTEDGETAWAYS.COM PARTNER / PROPERTY SUPPLIER TERMS AND CONDITIONS Version: 1.0 Platform: TentedGetaways.com ("Tented Getaways", "Platform", "we", "us", "our") ───────────────────────────────────────── 1. DEFINITIONS & INTERPRETATION 1.1 Definitions For purposes of this Agreement: • "Supplier" / "Partner" / "Property Owner" means the individual, company, trust, lodge owner, management company, or legally authorized representative subscribing to list one or more properties on TentedGetaways.com. • "Platform" means TentedGetaways.com, including its website, booking systems, inquiry tools, affiliate systems, APIs, and related technologies. • "Property" means any approved tented accommodation, safari tent, glamping unit, eco-camp, bush camp, or tented lodging approved by Tented Getaways. • "Guest" / "Customer" means an end user browsing, inquiring, or booking through the Platform. • "Inquiry Booking Model" means the initial operating phase where booking requests are submitted as inquiries and fulfilled manually by the Supplier. • "Affiliate / Whitelabel Model" means future booking stages where bookings may redirect to approved third-party systems or co-branded booking solutions. • "API Model" means future direct booking integration through software/API systems. • "Content" includes text, descriptions, rates, pricing, photography, video, logos, policies, and listing data. • "Subscription" means the Supplier's approved participation on the Platform, whether free, promotional, or paid. 1.2 Interpretation • Singular includes plural and vice versa. • References to law include amendments or replacements. • Headings are for convenience only and do not limit interpretation. ───────────────────────────────────────── 2. SUPPLIER ELIGIBILITY & AUTHORITY 2.1 Legal Authority The Supplier warrants that: • They are the legal owner, operator, or authorized representative of the listed Property. • They have authority to market, manage, and accept bookings for the Property. • All information submitted is truthful, accurate, and legally compliant. 2.2 Eligibility Requirements To qualify for listing: • The Property must primarily qualify as tented accommodation or glamping-related. • The Supplier must hold all required permits, licenses, and approvals. • The Property must comply with applicable tourism, zoning, health, and safety laws. 2.3 Right of Refusal Tented Getaways reserves the sole right to approve, reject, suspend, or remove listings at its discretion. ───────────────────────────────────────── 3. SUBSCRIPTION & LISTING APPROVAL 3.1 Application Process All Suppliers must complete the official registration process, submit accurate property details, provide requested documentation, and accept these Terms digitally. 3.2 Verification Tented Getaways may request ownership verification, identity documents, tourism or operating licenses, insurance certificates, and safety compliance documents. 3.3 Listing Activation A listing becomes active only after review and written or digital approval by Tented Getaways. ───────────────────────────────────────── 4. PROPERTY STANDARDS (TENTED CAMPS ONLY) 4.1 Property Category Tented Getaways specializes in tented stays and reserves the right to define acceptable categories. 4.2 Minimum Standards Suppliers agree that listed Properties are accurately represented, meet advertised cleanliness standards, maintain guest safety, provide the amenities described, and do not mislead users. 4.3 Quality Control Tented Getaways may review guest complaints, request updates, suspend underperforming listings, and remove listings for reputational harm. ───────────────────────────────────────── 5. CONTENT OWNERSHIP, MEDIA RIGHTS & ACCURACY 5.1 Supplier Ownership Suppliers retain ownership of original content submitted. 5.2 License Grant By uploading, submitting, or approving content on the Platform, Suppliers grant Tented Getaways a worldwide, royalty-free, transferable, sublicensable, non-exclusive license to display, reproduce, publish, distribute, market, advertise, modify for formatting or campaign suitability, and use in digital ads, social campaigns, email campaigns, search engine marketing, affiliate channels, press materials, and promotional partnerships — to promote the Property and the Tented Getaways brand. This includes the right for Tented Getaways to use approved photos, videos, logos, descriptive copy, and branded property assets for both direct property marketing and broader platform marketing purposes, even beyond the Supplier's specific listing page, unless expressly restricted in a separate written agreement. 5.3 Accuracy Obligation The Supplier is solely responsible for ensuring photos are authentic, pricing is current, amenities are correctly listed, and policies are accurate. False or misleading content may result in suspension or legal liability. ───────────────────────────────────────── 6. RATES, AVAILABILITY & BOOKING RESPONSIBILITIES 6.1 Supplier Responsibility The Supplier is solely responsible for accurate pricing, availability updates, blackout dates, seasonal rates, and occupancy restrictions. 6.2 Rate Integrity Suppliers may not intentionally submit deceptive rates to attract inquiries. 6.3 Taxes & Charges The Supplier must clearly disclose VAT, levies, conservation fees, cleaning fees, and additional mandatory charges. ───────────────────────────────────────── 7. INQUIRY-PHASE RESPONSIBILITIES (CURRENT MODEL) During the inquiry stage, Tented Getaways functions as a lead-generation and inquiry platform. Booking fulfillment remains the Supplier's responsibility. Suppliers must respond promptly within the required service window defined by Tented Getaways. Tented Getaways is not liable for unanswered inquiries, Supplier overbookings, or pricing discrepancies after inquiry. ───────────────────────────────────────── 8. FUTURE AFFILIATE / WHITELABEL / API TRANSITION TERMS Suppliers acknowledge Tented Getaways may evolve into affiliate referral systems, whitelabel booking systems, and API integrations. Migration to these models may require technical integration, new commercial agreements, revised commissions, and updated cancellation structures. Continued participation after implementation may constitute acceptance of revised operational terms. ───────────────────────────────────────── 9. COMMISSION, FEES & PAYMENT TERMS 9.1 Standard Commission Structure Unless otherwise agreed in writing, Tented Getaways shall earn a standard commission of 20% (twenty percent) on the gross booking value generated through the Platform. Commission is calculated on the total confirmed booking amount before Supplier payout. Taxes collected on behalf of government authorities may be excluded where legally required. 9.2 Payment Processing Models Inquiry Phase: Supplier fulfills bookings directly. Tented Getaways may invoice the Supplier for qualified leads, subscription fees, or agreed commissions. Affiliate / Whitelabel / API Phase: Commission may be automatically deducted at source. Supplier payouts may be processed net of commission. 9.3 Supplier Payment Obligations All commissions due are legally payable within agreed billing cycles. Late payments may incur administrative fees or interest where legally permissible. Intentional underreporting of bookings originating from Tented Getaways is considered material breach. 9.4 Non-Payment Failure to pay may result in listing suspension, booking hold, or termination. ───────────────────────────────────────── 10. SUPPLIER CONDUCT & GUEST EXPERIENCE STANDARDS Suppliers agree to act professionally, honor confirmed commitments, avoid discriminatory practices, avoid misleading communication, and resolve disputes in good faith. Repeated guest dissatisfaction may result in removal. ───────────────────────────────────────── 11. INSURANCE, LICENSES & LEGAL COMPLIANCE Suppliers warrant they maintain public liability insurance, required tourism licenses, property operation legality, and staff legal compliance. Failure may lead to immediate suspension. ───────────────────────────────────────── 12. HEALTH, SAFETY & LOCAL REGULATORY COMPLIANCE Suppliers are fully responsible for fire safety, wildlife safety notices, structural safety, water safety, food safety (if applicable), and emergency preparedness. Tented Getaways may request proof at any time. ───────────────────────────────────────── 13. CANCELLATION, REFUNDS & DISPUTE HANDLING Suppliers must clearly disclose cancellation and refund policies and are responsible for honoring them. Tented Getaways may mediate disputes but is not automatically financially liable unless expressly agreed. ───────────────────────────────────────── 14. REVIEWS, RATINGS & REPUTATION PROTECTION Guests may review listed properties. Suppliers may not manipulate reviews, offer incentives for false reviews, or threaten guests over reviews. Tented Getaways reserves the right to moderate or remove abusive or fraudulent content. ───────────────────────────────────────── 15. INTELLECTUAL PROPERTY & BRAND USAGE Tented Getaways retains exclusive rights to platform branding, logos, technology, website design, and marketing systems. Suppliers may not misuse or replicate Platform IP without written permission. ───────────────────────────────────────── 16. CONFIDENTIALITY & DATA PROTECTION (POPIA/GDPR-ALIGNED) Suppliers agree to comply with POPIA (South Africa), GDPR where applicable, and local privacy laws. Supplier and guest data must be protected. Unauthorized use, sale, or misuse of customer data is grounds for immediate termination. ───────────────────────────────────────── 17. INDEMNITY & LIMITATION OF LIABILITY The Supplier indemnifies Tented Getaways against claims arising from misrepresentation, injury at the Property, legal non-compliance, booking failures, and fraudulent conduct. To the maximum extent permitted by law, Tented Getaways is not liable for indirect, incidental, or consequential damages. ───────────────────────────────────────── 18. SUSPENSION / REMOVAL / TERMINATION Tented Getaways may suspend or terminate listings for fraud, safety concerns, legal breaches, poor guest outcomes, reputational harm, or non-payment. Suppliers may terminate subject to outstanding obligations. ───────────────────────────────────────── 19. FORCE MAJEURE Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, government restrictions, civil unrest, or technology outages. ───────────────────────────────────────── 20. JURISDICTION (SOUTH AFRICA DEFAULT, SCALABLE LATER) These Terms are governed by the laws of South Africa unless otherwise contractually specified. Disputes may be handled through negotiation, mediation, arbitration, or courts. Tented Getaways may adapt jurisdiction terms for international expansion. ───────────────────────────────────────── 21. AMENDMENTS Tented Getaways reserves the right to amend these Terms at any time. Continued use constitutes acceptance unless prohibited by law. ───────────────────────────────────────── 22. DIGITAL ACCEPTANCE & BINDING AGREEMENT By registering, subscribing, listing, or continuing to use TentedGetaways.com, the Supplier confirms that they have read these Terms, understand them, agree to them, and are legally authorized to bind the Property or business. Digital acceptance shall constitute legally binding agreement equivalent to physical signature where permitted by law. ───────────────────────────────────────── 23. BRANDING, MARKETING & PLATFORM PARTICIPATION By subscribing, Suppliers agree that Tented Getaways may market their Property through website listings, search engine campaigns, email campaigns, social media promotion, affiliate channels, and strategic partnerships. Suppliers may not publicly misrepresent their relationship with Tented Getaways, including false exclusivity or unauthorized co-branding. ───────────────────────────────────────── 24. SERVICE LEVELS & SUPPLIER PERFORMANCE METRICS Tented Getaways may evaluate Suppliers based on inquiry response speed, booking conversion, guest satisfaction, complaint ratios, cancellation frequency, and pricing integrity. Failure to meet minimum standards may affect ranking, visibility, or participation. ───────────────────────────────────────── 25. EXCLUSIVITY & COMPETITIVE POSITION Unless separately agreed in writing, Suppliers remain free to list elsewhere and Tented Getaways remains free to market competing properties. No exclusivity is implied. ───────────────────────────────────────── 26. TAX RESPONSIBILITY Suppliers are solely responsible for VAT registration obligations, income tax obligations, tourism levies, municipal or regional taxes, and regulatory declarations. Tented Getaways does not assume Supplier tax liability unless expressly stated. ───────────────────────────────────────── 27. FRAUD PREVENTION & VERIFICATION RIGHTS Tented Getaways reserves the right to verify booking authenticity, audit suspicious activity, investigate guest complaints, suspend payouts where fraud is suspected, and remove fraudulent Suppliers immediately. Fraud includes fake listings, rate manipulation, false availability, commission evasion, and guest deception. ───────────────────────────────────────── 28. PLATFORM DEVELOPMENT & OPERATIONAL FLEXIBILITY Suppliers acknowledge that Tented Getaways is a growing platform and may redesign systems, introduce new features, change subscription models, expand globally, add insurance or payment products, and modify user journeys. Such evolution does not invalidate this Agreement unless expressly stated. ───────────────────────────────────────── FINAL LEGAL NOTICE Tented Getaways reserves all rights necessary to protect its platform, users, suppliers, reputation, intellectual property, and future operational flexibility. By digitally registering, subscribing, uploading content, or maintaining an active listing on TentedGetaways.com, the Supplier expressly grants Tented Getaways ongoing rights, subject to this Agreement, to use approved property content — including photographs, videos, branding assets, and listing materials — for platform operations, promotion, advertising, paid media campaigns, social media, search marketing, partner campaigns, and future commercial growth initiatives, unless otherwise restricted by separate written agreement.
